1. Agreement and authority
These terms form an agreement between INNOFIX TECHNOLOGIES (PTY) LTD and the person or organisation creating or using a POPIA Pal account. If you act for an organisation, you confirm that you have authority to bind it. Do not use the service if you do not accept these terms, the Privacy Notice and, where customer content is processed, the Data Processing Addendum.
2. Service and compliance responsibility
POPIA Pal provides workflow, document-generation, recordkeeping and training tools intended to support privacy compliance. It is not a law firm, does not provide legal advice and does not guarantee that use of the platform will make an organisation compliant. Customers remain responsible for their lawful bases, notices, decisions, responses, filings and professional advice.
3. Accounts and authorised users
- Provide accurate information and keep account access secure.
- Use individual accounts and grant only the access each person needs.
- Notify Innofix promptly of suspected unauthorised access.
- Ensure uploaded personal information was collected lawfully and is necessary for the stated purpose.
4. Acceptable use
You may not bypass access controls, probe or disrupt the service, upload malware, impersonate another person, infringe rights, submit unlawful or excessive personal information, use the service to send unsolicited marketing, or resell access without written permission. Innofix may restrict harmful activity to protect users and the platform.
5. Customer content
You retain ownership of customer content and grant Innofix the limited right to host, secure, transform and transmit it only to provide and protect the service, comply with law and follow documented instructions. The Data Processing Addendum governs personal information in customer content. Do not upload special personal information or children's data unless your organisation has confirmed a lawful basis and safeguards.
6. Plans, payments and cancellation
Paid plans are billed in advance through Paystack at the displayed price and interval. Taxes may apply. You may manage or cancel renewal through the subscription-management link. Cancellation stops future renewal but does not automatically erase records that must be retained. Any consumer rights that cannot lawfully be excluded, including applicable rights under the Consumer Protection Act and Electronic Communications and Transactions Act, remain unaffected.
7. Availability and changes
We aim to provide a reliable service but maintenance, security incidents, provider outages or events outside reasonable control may interrupt it. Material reductions to paid functionality will be communicated where reasonably possible. Beta or preview features may change or be withdrawn.
8. Intellectual property
Innofix owns POPIA Pal, its software, branding and platform materials. During the agreement you receive a limited, non-exclusive, non-transferable right to use the service internally. Documents generated from your inputs may be used by your organisation, but general templates and platform code remain Innofix intellectual property.
9. Suspension and termination
We may suspend access where reasonably necessary for security, material breach, unlawful use or non-payment, normally after notice where the risk permits. On termination, you may request an export during the applicable retrieval period. Deletion and legal retention follow the Privacy Notice and Data Processing Addendum.
10. Responsibility and liability
Each party is responsible for loss caused by its breach, negligence or unlawful conduct. To the extent permitted by South African law, Innofix is not responsible for a customer's compliance decisions, inaccurate inputs, unauthorised user activity or indirect loss that was not reasonably foreseeable. Nothing excludes liability that cannot legally be excluded.
11. Confidentiality and security
Each party must protect the other's confidential information and use it only for the agreement. Innofix maintains appropriate technical and organisational safeguards and will handle confirmed personal-information compromises in accordance with the Data Processing Addendum and POPIA.
12. Law and disputes
South African law governs these terms. The parties should first attempt good-faith resolution through the contact above. A person may still use any regulator, tribunal or court available under applicable law.
13. Changes to these terms
We will date material updates and provide reasonable notice where they materially affect existing customers. Continued use after the effective date constitutes acceptance only where legally valid; otherwise we will request renewed acknowledgement.
